Terms of Service

1. Acceptance of Terms

By accessing or using PopUp, operated by PopUp Space Systems LLC ("Company", "we", "us", or "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

PopUp is a marketplace connecting event organizers with mobile vendors — including food, beverage, florists, photographers, caterers, DJs, and other service providers. PopUp also provides financial management tools for mobile businesses, including cash flow tracking, event calendar management, and revenue projections. The Service integrates with third-party financial services to provide these features.

PopUp also provides tax preparation tools, including transaction categorization, Schedule C expense mapping, estimated tax calculations, and optional integration with third-party tax filing services. These tools are designed to assist users in organizing their financial data for tax purposes.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Financial Data

When you connect your bank accounts through our Service, you authorize us to access your financial data through our third-party provider, Plaid. We use this data solely to provide the Service and in accordance with our Privacy Policy.

Financial data accessed through Plaid may also be used to automatically categorize transactions for tax purposes, generate estimated tax calculations, and pre-fill data in third-party tax filing services you choose to use. You acknowledge that these categorizations and calculations are automated estimates and may contain errors.

5. Tax Preparation Tools

PopUp provides tax preparation tools solely to help you organize financial data. PopUp Space Systems LLC is not a certified public accountant (CPA), enrolled agent, tax preparer, bookkeeper, or financial advisor. PopUp does not provide tax, legal, or accounting advice.

All tax estimates, Schedule C categorizations, and calculations provided by the Service are automated approximations based on your bank transaction data and the information you provide. They may be incomplete, inaccurate, or inapplicable to your specific tax situation.

If you use a third-party tax filing integration, you are the filer of record. PopUp pre-fills data on your behalf for convenience, but you are solely responsible for reviewing, verifying, and approving all information before submission to the IRS or any state tax authority.

PopUp is not liable for any penalties, interest, underpayments, overpayments, or other consequences resulting from tax filings or decisions based on information provided by the Service. You are solely responsible for the accuracy of your tax returns.

6. Limitation of Liability

PopUp is provided "as is" without warranties of any kind. We are not liable for any financial decisions made based on information provided by our Service. Always verify financial information independently.

This limitation expressly includes, without limitation, any losses or damages arising from reliance on tax estimates, transaction categorizations, or pre-filled tax data provided by the Service.

7. Refunds & Cancellations

Standard subscriptions may be canceled at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period.

Subscriptions purchased at a discounted rate (including referral credits and promotional codes) are non-refundable after 30 days from the date of purchase.

8. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through the Service. Continued use after changes constitutes acceptance of the modified terms.

9. Vendor Licensing & Permits

Vendors are solely responsible for obtaining and maintaining all required licenses, permits, and certifications necessary for their operations. This includes, but is not limited to, food service permits, mobile bar and alcohol licenses, health department certifications, business licenses, and any local or state permits required in the jurisdictions where they operate.

Vendors must ensure compliance with all applicable laws and regulations in every jurisdiction where they operate. While PopUp may track license information for convenience, PopUp does not verify, endorse, or guarantee any vendor's licenses, permits, or qualifications.

10. Organizer Responsibilities

Organizers are responsible for ensuring that their events comply with all applicable local regulations. Organizers should independently verify vendor credentials, licenses, and permits before hosting vendors at their events. By using PopUp to discover and book vendors, organizers accept responsibility for vetting the vendors operating at their events.

11. Referral Program

PopUp offers a referral program that allows users to earn rewards by referring new vendors to the platform. Participation is subject to the following terms:

  • Reward Structure. Vendor accounts earn a $5.00 account credit when a referred vendor publishes their profile. All account types earn $100.00 cash when a referred vendor subscribes to an annual plan (paid 31 days after subscription start) or maintains a monthly subscription for 6 or more consecutive months. PopUp reserves the right to modify reward amounts, eligibility criteria, or program terms at any time with reasonable notice.
  • Eligibility. Referrals must be genuine — the referred user must be a real person or business not previously registered on PopUp. Self-referrals (referring your own alternate accounts) are prohibited and will result in forfeiture of rewards and possible account suspension.
  • Referral Discount. Referred vendors receive $100 off their first annual subscription ($399 instead of $499). This discount is non-transferable and cannot be combined with other promotional offers unless stated otherwise.
  • Payment. Cash rewards are paid via the method on file after the applicable waiting period. Account credits are applied to the referrer's balance and may be used toward subscription payments. Rewards are non-transferable and have no cash value until paid out.
  • Fraud Prevention. PopUp reserves the right to withhold, revoke, or claw back referral rewards if it determines, in its sole discretion, that referral activity is fraudulent, manipulative, or in violation of these Terms. This includes but is not limited to: creating fake accounts, incentivizing signups through misleading claims, spam, or any form of referral abuse.

12. Platform Disclaimer

PopUp facilitates connections between organizers and vendors. PopUp is not liable for any vendor's failure to maintain required permits or for any consequences arising from vendors operating without proper permits. PopUp is not liable for falsified permits or misrepresented credentials.

Users acknowledge that compliance verification is their responsibility, not PopUp's. PopUp makes no representations or warranties regarding the accuracy of any vendor's license information displayed on the platform.
